Terms and Conditions
1. Services
Subject to the terms and conditions of this Agreement, Health Med Village agrees to provide temporary staff (“Supply Staff”).
2. Fees
Supply Staff fees will be billed as per the rate schedule. Any increase in rates will be communicated to the Client by Health Med Village in writing at least thirty (30) days before any increase takes effect, and such notice will constitute an amendment to this Agreement.
3. Payment
Health Med Village shall invoice the Client for Supply Staff fees plus all applicable taxes. Invoices submitted will be itemized statements detailing placements and are due upon receipt. Health Med Village reserves the right to charge interest on overdue payments.
4. Confidentiality
Health Med Village warrants that Supply Staff shall be under contract of employment with Health Med Village and shall be bound thereby to keep all Client affairs confidential.
5. Quality Assurance
For the purpose of monitoring and providing quality assurance for the services rendered by Supply Staff, Health Med Village management will make follow-up visits or calls on an as-needed basis as mutually agreed upon by the Client and Health Med Village.
6. Documentation
Supply Staff will arrive at the Client’s workplace with their own “On-The-Go” files, which will be kept with the Supply Staff during the workday. The contents contained in the personnel file are confidential and are the property of Health Med Village. Since each workplace is unique, it is the Client’s responsibility to have each Health Med Village employee sign any specific policies or procedures at the start of each placement.
7. Timesheets
Supply Staff timesheets will be provided to the client. The Client is responsible for verifying and signing off on the hours noted on the electronic timesheet.
8. Supervision/Concerns
Supervision of Supply Staff is the Client’s responsibility while they are at the Client’s workplace. If the Client has any problem or concern with Supply Staff assigned to its workplace, it should notify Health Med Village promptly.
9. Health & Safety
Supply Staff are not authorized to operate any type of machinery or automotive equipment while on an assignment. Supply Staff are not authorized to handle cash, negotiables, or other valuables on an assignment.
10. Overtime Rates
Overtime hours are billed at time and a half (1.5 times) the regular fee rate applicable. Overtime hours are calculated as total daily hours in excess of eight and a half (8.5) hours.
11. Statutory Holidays
If Supply Staff are asked to work on a public holiday, the applicable fee rate will be the fee rate applicable plus fifty percent (50%), and the Client will be billed accordingly.
12. Hiring Supply Staff
If the Client is pleased with the services of any of our Supply Staff and wishes to hire them directly for a full-time or temporary position, the Client agrees to pay a conversion fee to Health Med Village, in an amount set by Health Med Village, acting reasonably. If any of Health Med Village’s Supply Staff who have been assigned through Health Med Village are hired by the Client or an entity affiliated with the Client within six (6) months of the last authorized timesheet, the Client agrees to pay a conversion fee to Health Med Village, in an amount set by Health Med Village, acting reasonably.
13. Independent Contractor
Health Med Village is an independent contractor to the Client, and nothing in this Agreement shall be deemed or construed to create a joint venture, partnership, agency, or any other relationship between the parties. All Supply Staff placed with the Client by Health Med Village shall be employees of Health Med Village and not the Client, and Health Med Village, except as specifically provided in these Terms and Conditions, shall have sole responsibility for discharging obligations relating to such employees, including, but not limited to, all contributions to Employment Insurance, Canada Pension, income tax remittances, employer health tax, and other similar levies or taxes.
14. Applicable Laws
This Agreement will be governed by and construed in accordance with the laws of Ontario and the laws of Canada applicable in Ontario. This Agreement sets forth the entire understanding between the parties hereto and supersedes all prior agreements, arrangements, and communications, whether oral or written, with respect to the subject matter hereof. No other agreements, representations, warranties, or other matters, whether oral or written, shall bind the parties hereto with respect to the subject matter hereof except for a written amendment signed by both parties.
By submitting this form, I acknowledge that I am authorized to request supply staff for my facility and agree to the terms and conditions of service provided by Health Med Village.
